GENERAL TERMS & CONDITIONS \u2013 AGUROTECH MONITORING & DECISION SUPPORT SYSTEM <\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

1. Definitions<\/span><\/b><\/p>

Agurotech: Agurotech B.V., registered in Amsterdam, Chamber of Commerce 81016816.
Customer: Any natural or legal person using or purchasing Agurotech products or services<\/span>
System<\/span>: The Agurotech Monitoring & Decision Support System, <\/span>including<\/span> sensors<\/span>, <\/span>weather stations<\/span>, <\/span>rain gauges<\/span>, <\/span>frost sensors<\/span>, <\/span>satellite integrations<\/span>, <\/span>the software platform<\/span>, dashboards, indices, <\/span>algorithms<\/span>, alerts and decision support <\/span>functionalities<\/span>.<\/span><\/span> <\/span><\/span>
Hardware: All physical devices supplied by Agurotech.<\/span> <\/span><\/span>
Software: The Agurotech platform, mobile app, web application, algorithms, models and APIs.<\/span>
Subscription: The periodic fee for access to Software, services and data processing.<\/span>
Data: All data generated, collected or processed through the System.<\/span>
Parties: Agurotech and Customer collectively.<\/span><\/p>

2. Applicability <\/span><\/b><\/p>

These Terms apply to all quotations, agreements, deliveries, subscriptions and all use of Agurotech products and services. Any general terms of the Customer are expressly excluded. <\/p>

3. Acceptance of Terms <\/strong><\/p>

Access to and use of the System, the app or the web application is only permitted after the Customer has explicitly accepted these Terms.<\/span>
By logging in, creating an account or using the System, the Customer agrees to these Terms and any future amendments.<\/span> <\/span><\/p>

4. <\/span><\/b>Agreements & Subscriptions<\/span><\/b> <\/span><\/p>

Subscriptions are entered into for an indefinite period and renew automatically unless terminated with two (2) months\u2019 written notice.<\/span> <\/span><\/p>

5. Prices<\/span><\/span><\/strong><\/p>

All prices exclude VAT and any additional costs.
Agurotech may adjust prices and will communicate such changes in advance. <\/span> <\/span><\/p>

6. Payments<\/span><\/span><\/strong><\/p>

Payment terms are strict deadlines.
In the event of late payment, Agurotech may immediately suspend Customer access to the System without further notice. <\/span> <\/span><\/p>

7. Delivery of Hardware<\/span><\/b> <\/span><\/p>

Hardware is delivered DAP (Incoterms 2020). Risk transfers to the Customer upon physical delivery. <\/span>
Hardware provided for pilot or demonstration purposes remains the property of Agurotech.<\/span> <\/span><\/p>

8. Installation Responsibility<\/span><\/b> <\/span><\/p>

The Customer is fully responsible for the correct installation, placement, depth settings, configuration and maintenance of all Hardware.<\/span>
Agurotech is not liable for inaccurate measurements or system outputs caused by:
– incorrect installation
– incorrect crop, soil or field data
– improper use or configuration<\/span> <\/span><\/p>

9. Warranty & Remedies<\/span><\/b> <\/span><\/p>

Agurotech provides a one-year warranty on manufacturing defects.<\/span>
Warranty excludes damage resulting from improper use, agronomic conditions or modifications made by the Customer.<\/span>
The Customer\u2019s sole and exclusive remedy for defective Hardware is repair or replacement.<\/span><\/b>
No additional compensation applies.<\/span> <\/span><\/p>

10. <\/span>Use of the System<\/span><\/strong><\/p>

Use of the System is non-transferable. The Customer may not copy, modify, distribute, reverse engineer or create derivative works of the Software. <\/span>
Agurotech may perform updates, upgrades or maintenance without prior approval.<\/span> <\/span><\/p>

11. Decision Support Functionalities & Data Accuracy Disclaimer<\/span><\/b> <\/span><\/p>

All outputs, alerts, indices, algorithms, models and visualisations generated by the System are decision support only and shall not be considered agronomic, irrigation or fertilisation advice. <\/span><\/p>

Agurotech does not guarantee the accuracy, completeness or availability of:<\/span> <\/span><\/p>

  • soil moisture or sensor data<\/span> <\/span><\/li>
  • satellite or remote sensing data<\/span> <\/span><\/li>
  • weather data or forecasts<\/span> <\/span><\/li>
  • model outputs and indices<\/span> <\/span><\/li><\/ul>

    Environmental, agronomic and operational decisions remain solely the responsibility of the Customer.<\/span><\/b> <\/span><\/p>

    12. <\/span>Data Ownership & Usage<\/span><\/strong><\/p>

    The Customer retains ownership of all data they provide.<\/span>
    Agurotech retains ownership of all sensor data, derived data, indices, algorithms, models and system-generated insights.<\/span>
    Agurotech may use anonymised and aggregated data for:
    – product improvement
    – scientific research
    – commercial purposes

    The Customer grants Agurotech a licence to process their data to deliver System functionality.<\/span> <\/span><\/p>

    13. Third-Party Integrations<\/span><\/b> <\/span><\/p>

    Agurotech is not liable for interruptions, inaccuracies or unavailability caused by third-party services such as:
    – satellite providers
    – weather data services
    – telecom operators
    – cloud or API providers<\/span> <\/span><\/p>

    14. Availability<\/span><\/b> <\/span><\/p>

    Services are provided on a best-effort basis.<\/span>
    Agurotech does not guarantee uninterrupted uptime or continuous availability.<\/span>
    Planned or unplanned downtime does not entitle the Customer to compensation.<\/span> <\/span><\/p>

    15. Liability<\/span><\/b> <\/span><\/p>

    Agurotech\u2019s total liability is limited to the total amount paid by the Customer in the preceding twelve (12) months.<\/span> <\/span><\/p>

    Agurotech is never liable for:<\/span> <\/span><\/p>

    • crop damage, yield loss or quality loss<\/span> <\/span><\/li>
    • indirect or consequential damages<\/span> <\/span><\/li>
    • decisions made based on System outputs<\/span> <\/span><\/li>
    • incorrect data input, installation or use by Customer<\/span> <\/span><\/li><\/ul>

      16. Indemnification<\/span><\/b> <\/span><\/p>

      The Customer shall indemnify and hold Agurotech harmless from all third-party claims arising from:<\/span> <\/span><\/p>

      • incorrect use of the System<\/span> <\/span><\/li>
      • incorrect installation or data entry<\/span> <\/span><\/li>
      • decisions taken by the Customer based on outputs of the System.
        The Customer\u2019s operational or agricultural activities<\/span> <\/span><\/li><\/ul>

        17. Force Majeure<\/span><\/b> <\/span><\/p>

        Events outside Agurotech\u2019s reasonable control suspend all obligations without liability, including but not limited to: power outages, network failures, extreme weather, strikes, supplier failures and force majeure events.<\/span> <\/span><\/p>

        18. Termination<\/span><\/b> <\/span><\/p>

        Either Party may terminate with two months\u2019 notice.<\/span>
        Agurotech may terminate the agreement immediately in case of non-payment, misuse or breach of contract.<\/span> <\/span><\/p>

        19. Intellectual Property<\/span><\/b> <\/span><\/p>

        All intellectual property rights related to Agurotech products, services, Software and data models remain the exclusive property of Agurotech.<\/span>
        Customer may not use intellectual property without written permission.<\/span> <\/span><\/p>

        20. Confidentiality<\/span><\/b> <\/span><\/p>

        The Customer shall keep all confidential information received from Agurotech confidential during the agreement and for three (3) years thereafter.<\/span> <\/span><\/p>

        21. Governing Law<\/span><\/b> <\/span><\/p>

        Dutch law applies exclusively.<\/span>
