1. Introduction<\/span><\/b><\/p>

This End User Licence Agreement (\u201cEULA\u201d) governs the use of the Agurotech Monitoring & Decision Support System, including the Agurotech mobile and web applications, algorithms, dashboards, decision-support features, and all associated software (\u201cSoftware\u201d).<\/span>
By creating an account, logging in, or using the Software, the user (\u201cEnd User\u201d) accepts and agrees to be bound by this EULA.<\/span> <\/span><\/p>

2. Licence Grant<\/span><\/b><\/p>

Agurotech grants the End User a limited, revocable, non-transferable, non-exclusive licence to access and use the Software solely for internal agricultural operations.<\/span> <\/span><\/p>

3. Restrictions<\/span><\/b><\/p>

The End User shall not:<\/span> <\/span><\/p>

  • copy, modify, translate, or create derivative works of the Software<\/span> <\/span><\/li>
  • decompile, reverse engineer, or attempt to extract source code<\/span> <\/span><\/li>
  • resell, sublicense, or distribute the Software<\/span> <\/span><\/li>
  • circumvent security or access controls<\/span> <\/span><\/li>
  • use the Software for competing product development<\/span> <\/span><\/li><\/ul>

    4. Ownership<\/span><\/b><\/p>

    All intellectual property rights in the Software remain exclusively with Agurotech.<\/span> <\/span><\/p>

    5. User Obligations<\/span><\/b><\/p>

    The End User is responsible for:<\/span> <\/span><\/p>

    • correct entry of field, crop, soil, and configuration data<\/span> <\/span><\/li>
    • correct installation and maintenance of all Hardware<\/span> <\/span><\/li>
    • ensuring account security<\/span> <\/span><\/li><\/ul>

      Agurotech is not liable for inaccuracies resulting from user input, installation errors, or misuse.<\/span> <\/span><\/p>

      6. Software Updates<\/span><\/b><\/p>

      Agurotech may implement updates, upgrades, and maintenance at any time.<\/span>
      Some updates may affect functionality or performance. Continued use constitutes acceptance. <\/span> <\/span><\/p>

      7. Decision Support Disclaimer<\/span><\/b><\/p>

      All outputs (including alerts, indices, recommendations, visualisations, and algorithms) are decision support only. They do not constitute agronomic, irrigation, or fertilisation advice. <\/span><\/p>

      The End User is solely responsible for all agronomic decisions.<\/span> <\/span><\/p>

      8. Data<\/span><\/b><\/p>

      Data processing is governed by the Agurotech Privacy Policy.
      The End User grants Agurotech the right to process data for the delivery of the Software and improvements. <\/span><\/p>

      9. Availability<\/span><\/b><\/p>

      The Software is provided on a best-effort basis. Agurotech does not guarantee uninterrupted availability. <\/span> <\/span><\/p>

      10. Termination<\/span><\/b><\/p>

      Agurotech may suspend or terminate access in cases of:<\/span> <\/span><\/p>

      • non-payment<\/span> <\/span><\/li>
      • breach of this EULA<\/span> <\/span><\/li>
      • misuse or unlawful activity<\/span> <\/span><\/li><\/ul>

        Upon termination, the licence immediately ends.<\/span> <\/span><\/p>

        11. Liability<\/span><\/b><\/p>

        To the maximum extent permitted by law, Agurotech\u2019s liability is limited to the amount paid in the previous 12 months.<\/span>
        Agurotech is not liable for crop loss, yield impact, indirect damage, or decisions based on Software outputs.<\/span> <\/span><\/p>

        12. Governing Law<\/span><\/b><\/p>

        This EULA is governed exclusively by Dutch law.<\/span>
